Acceptance of terms
These Terms of Use ("Terms") govern your access to and use of www.pearaccountants.com and related online properties operated by Pear Accountants ("Pear," "we," "us," or "our"). By using the Site, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Site.
If you use the Site on behalf of a company, you represent that you have authority to bind that company to these Terms.
Description of services
The Site provides general information about Pear's accounting, tax, formation, bookkeeping, payroll coordination, and advisory offerings, and tools to request a consultation. The Site does not itself create a client relationship. Formal services begin only after Pear accepts an engagement and you sign an engagement letter or other written agreement.
Informational content only
Content on the Site (including state formation fee summaries, tax snapshots, articles, FAQs, and calculators if any) is for general education. It is not formal accounting, tax, legal, investment, or other professional advice. Rules change, and your facts matter. Do not rely on Site content as a substitute for advice from a qualified professional engaged for your situation.
Nothing on the Site is an offer to practice law or to prepare returns for a specific taxpayer without engagement. Communications through forms or email do not create attorney-client or accountant-client privilege by themselves.
Accounts and accuracy
If you submit forms or create an account on future client portals, you agree to provide accurate information and to keep credentials confidential. You are responsible for activity under your access credentials unless you notify us of unauthorized use.
Use of website and prohibited conduct
You agree not to:
- Use the Site in violation of law, regulation, or professional ethics rules.
- Scrape, harvest, or bulk-download Site content without our written consent.
- Interfere with Site security, reverse engineer non-public systems, or introduce malware.
- Impersonate another person or misrepresent your affiliation.
- Submit unlawful, defamatory, infringing, or confidential third-party information you are not authorized to share.
- Use the Site to send spam or automated abusive requests.
We may suspend or terminate access for conduct we reasonably believe violates these Terms or creates risk to Pear, users, or third parties.
Intellectual property
The Site, including text, graphics, logos, icons, layout, and software, is owned by Pear or its licensors and is protected by US and international intellectual property laws. Pear grants you a limited, revocable, non-exclusive license to access the Site for personal or internal business information purposes. You may not copy, modify, distribute, sell, or create derivative works from Site materials without prior written permission, except for fair use or other non-waivable rights.
"Pear Accountants" and related marks are trademarks of Pear. Third-party marks appear for identification only.
User submissions
If you send ideas, feedback, or other content (other than confidential client engagement materials), you grant Pear a worldwide, royalty-free license to use that feedback to improve our services. Do not submit confidential business information through public Site forms unless we expressly ask for it through a secure channel.
Third-party links and services
The Site may link to third-party sites, maps, schedulers, or payment tools. We do not control those services and are not responsible for their content, availability, or terms. Your use of third-party services is at your own risk and subject to their terms and privacy policies.
Disclaimers
THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, PEAR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT CONTENT IS COMPLETE, CURRENT, OR SUITABLE FOR YOUR FACTS.
State fee figures, tax rates, and processing times on the Site are informational snapshots and may change. Confirm current requirements with the relevant agency or through an engaged Pear advisor before you act.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PEAR AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO YOUR USE OF THE SITE, EVEN IF ADVISED OF THE POSSIBILITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PEAR'S TOTAL LIABILITY FOR CLAIMS ARISING OUT OF THE SITE WILL NOT EXCEED ONE HUNDRED US DOLLARS (USD $100) OR THE AMOUNT YOU PAID PEAR FOR SITE ACCESS IN THE TWELVE MONTHS BEFORE THE CLAIM (IF ANY), WHICHEVER IS GREATER. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS. IN THOSE CASES, OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED.
These limits apply to Site use. Separate engagement letters govern professional services liability once you are a client.
Indemnification
You agree to indemnify and hold harmless Pear and its personnel from claims, losses, and expenses (including reasonable attorneys' fees) arising out of your misuse of the Site, your violation of these Terms, or your infringement of another person's rights, except to the extent caused by Pear's willful misconduct.
Governing law and disputes
These Terms are governed by the laws of the State of Delaware, excluding conflict-of-law rules, unless a mandatory consumer protection law in your place of residence requires otherwise. Courts located in Delaware will have exclusive jurisdiction over disputes arising from these Terms or the Site, subject to any non-waivable rights you may have.
Before filing a claim, you agree to try to resolve the dispute informally by emailing hello@pearaccountants.com with a short description of the issue.
Export and sanctions compliance
You may not use the Site if you are prohibited from receiving US services under applicable export control or sanctions laws, including lists maintained by the US Treasury Office of Foreign Assets Control (OFAC).
Changes to terms
We may update these Terms by posting a revised version with a new "Last updated" date. Continued use after changes become effective constitutes acceptance, except where additional consent is required by law.
Miscellaneous
If any provision is found unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver. These Terms, plus the Privacy Policy and any additional posted terms for a specific feature, are the entire agreement regarding Site use and supersede prior Site-related understandings. They do not supersede a signed client engagement.
